Terms of Use
Last updated: November 7, 2026
1. Agreement to these Terms
These Terms of Use ("Terms") form a binding agreement between you and LSL Group INC ("Overten," "Company," "we," "us," or "our"). They govern your access to and use of Overten Scout ("Scout"), including the Scout WhatsApp number, the website, the marketplace, shop and share pages, lead agents, alerts and any related service (together, the "Service").
You accept these Terms when you tap Accept in the Scout WhatsApp chat, create an account, tick or click to agree, or otherwise use the Service. If you do not agree, do not use the Service. If you accept for a business or other organization, you confirm that you have authority to bind it, and "you" includes that organization.
The following form part of these Terms: the Seller Terms, the Buyer Terms, the Acceptable Use policy, the Plans, Credits and Refunds policy and the Privacy Notice (together, the "Scout Policies"). The Overten Terms & Conditions (overten.ai/legal/terms) also apply to your use of Overten's platform. If they conflict with these Terms, these Terms apply to Scout.
SECTION 28 CONTAINS A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER. PLEASE READ IT CAREFULLY.
2. Definitions
- "Account" means the account connected to your email address or WhatsApp number.
- "Agent" or "lead agent" means the software feature that searches for potential buyers and drafts replies. The name a seller gives it is a label. An Agent is software. It is not a person and is not anyone's legal agent or representative.
- "Buyer" means a person who uses the Service to look for a product or service.
- "Seller" means a business or individual who lists a product or service on the Service, or who uses an Agent.
- "Listing" means a product or service a Seller adds or approves, with its description, price, photos, videos and contact details.
- "Potential Buyer" means a person the Service identifies as possibly interested in a Listing, either from a public post or because they asked Scout.
- "Public Post" means a post or comment that is publicly available on a third-party network.
- "AI Output" means text, scores, summaries, matches, descriptions, draft replies and other material generated by automated features of the Service.
- "User Content" means anything you submit to the Service, including messages, photos, Listings and business details.
- "Credits" means the units described in the Plans, Credits and Refunds policy.
- "Transaction" means any sale, purchase, rental, booking, service or other dealing between a Buyer and a Seller.
3. What Scout is and is not
3.1 An introduction service
Scout helps Sellers find people who may want what they sell, and helps Buyers find who sells what they want. Sellers list what they sell. Scout looks for Potential Buyers among Public Posts and people who ask Scout directly, scores them, matches them to Listings, drafts replies and sends alerts.
3.2 We are not part of any Transaction
We provide technology and introductions only. Unless we expressly agree otherwise in writing:
- We are not a buyer, seller, broker, dealer, auctioneer, estate agent, employer, carrier, escrow holder or payment agent in any Transaction.
- We do not own, inspect, verify, store, hold, deliver or vouch for anything listed.
- We do not take, hold or transfer payment for any item or service. Credits pay only for the Service.
- We do not negotiate, book, reserve or make any promise on anyone's behalf.
- We do not conclude contracts between Buyers and Sellers. Any Transaction is solely between them, on terms they agree.
3.3 We never post for you
The Service does not post, comment or send messages on social networks in your name. Replies drafted by an Agent are suggestions. A Seller decides whether to send them, and sends them from the Seller's own account.
3.4 No professional advice
Nothing in the Service is legal, financial, tax, investment, medical, property valuation or other professional advice.
4. Eligibility
You must be at least 16 years old and have the legal capacity to enter a binding contract where you live. If you are under the age of majority where you live, you may use the Service only with the involvement of a parent or guardian, who accepts these Terms for you. Some Transactions, such as buying vehicles or property, or goods restricted by age, may require you to be an adult.
You may not use the Service if we have previously suspended or removed you, or if applicable law prohibits you from using it.
5. Your account and your WhatsApp number
5.1 Creating an account
You can create an Account on the website, or in the Scout WhatsApp chat by accepting these Terms and confirming with an emailed code or by using your WhatsApp number. Information you give us must be true, complete and kept up to date.
5.2 Your number is your access
When you confirm with your WhatsApp number, we treat messages from that number as coming from you. You are responsible for all activity on your Account and number, whether or not you authorized it. Keep your phone, WhatsApp and email secure, and tell us immediately if you think someone else has used them. If you change or lose your number, tell us so that we can protect your Account.
5.3 Team members
If you invite others to a business, you are responsible for what they do on it and for removing their access when it should end.
6. Messages between you and Scout
By messaging Scout on WhatsApp, or by connecting WhatsApp or Telegram for alerts, you agree to receive messages about the Service on that channel. They may include replies, listings, alerts about Potential Buyers, account notices, reminders and top-up notices. Standard data charges from your network may apply.
To stop alerts, change your settings or turn off the workflow that sends them. To stop being passed to Sellers, tell Scout you are no longer looking. Important messages about your Account, security or these Terms may still be sent.
You agree that electronic records, messages and tapped buttons satisfy any requirement that a notice or agreement be in writing, to the extent the law allows.
7. Automated features and AI
The Service uses artificial intelligence and other automated systems to read posts, photos and websites, score Potential Buyers, propose Listings, compare products and draft messages. You acknowledge that:
- AI Output can be wrong, incomplete, out of date or inappropriate for your purpose. It may misread a photo, a price or what someone meant.
- A score is an automated estimate of interest. It is not a statement of fact about any person, and it does not decide anyone's legal rights.
- You are responsible for checking AI Output before you rely on it, send it, publish it or act on it. You are responsible for any message you send, including one you copied from a draft.
- AI Output is provided as is, without any warranty of accuracy or fitness for a purpose.
- AI Output may resemble output generated for other users.
Subject to these Terms and our AI providers' terms, you own the AI Output generated for you, to the extent the law recognizes ownership of it.
8. Listings, Public Posts and other people's content
Listings come from Sellers and Public Posts come from their authors, not from us. We do not check them in advance and do not adopt them. Prices, stock, descriptions, locations and availability can change or be wrong. A Public Post may be old, or the person may already have what they wanted.
We may decide what is shown, in what order, and to whom, and may remove anything at our discretion. Ranking, matching and scoring depend on many factors and are not a recommendation or endorsement.
9. Your safety and due diligence
You deal with other users at your own risk. Before you pay or hand over anything, you should:
- Confirm who you are dealing with, and that the item or service exists and matches the description.
- Meet in a safe public place, and inspect goods before you pay wherever you can.
- For vehicles, property, land and other high-value items, check ownership, title and legal documents independently, with a professional if needed.
- Avoid paying deposits or advance fees to people you cannot verify.
- Report anything that looks fraudulent to us, and to the police where a crime may have happened.
We do not conduct identity, background, licence or ownership checks on users or Listings, except where we say so expressly for a specific feature.
10. Disputes between users
Any dispute about a Transaction, including quality, delivery, price, payment, refunds or warranty, is between the Buyer and the Seller. We have no obligation to take part in or resolve it. We may, but do not have to, look into a report and act on an Account or Listing.
To the maximum extent the law allows, you release us from claims, losses and damages arising from any dispute with another user, or from any Transaction.
11. Fees
Buying on Scout is free. Sellers receive a daily allowance of Potential Buyers at no charge, and may choose a monthly plan or buy Credits for more, as the Plans, Credits and Refunds policy explains. Other features may be priced on our pricing page or agreed in writing. All fees exclude taxes, which you are responsible for unless we must collect them by law.
We may change our fees and free allowances for the future. We will give at least 30 days' notice of a change that materially increases what you pay. Free allowances may vary by business and may change.
12. Acceptable use
You must follow the Acceptable Use policy. In particular, you must not break the law, list prohibited goods, deceive anyone, send spam, harass anyone, misuse people's details, interfere with the Service, or use it in a way that breaks WhatsApp's or another network's rules.
We may investigate and act on breaches, including removing content, limiting features, and suspending or ending Accounts.
13. Your content and the licence you give us
You keep ownership of your User Content. You give us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt, translate, display, distribute and otherwise process it so that we can provide, maintain and improve the Service, including showing Listings to Buyers, sending them over WhatsApp, and letting automated features work on them. You allow us to grant the same rights to service providers who help us run the Service.
This licence ends when you delete the content or your Account, except for copies already sent to other users, copies in backups for a limited period, and copies we must keep by law or to resolve a dispute.
You confirm that you own or have the rights to your User Content, that it is accurate, and that it does not break the law or anyone's rights, including the rights of people shown in photos.
14. Third-party services
The Service relies on services we do not control, including WhatsApp and other Meta services, the social networks searched, Telegram, payment providers such as Paystack, and hosting and AI providers. Their terms apply to your use of them, and you are responsible for complying with them.
Scout is not affiliated with, endorsed by or sponsored by WhatsApp, Meta, TikTok, Google, X, Reddit, LinkedIn or any other network named on our site. Their names belong to their owners and are used only to describe how the Service works.
We are not responsible for the availability, accuracy, security or content of any third-party service, or for any change that affects the Service. If a provider changes or withdraws access, a feature may stop working.
15. Intellectual property
15.1 Our property
The Service, including its design, software, features, wording, trademarks and underlying technology, is owned by LSL Group INC and its licensors. Except for the limited right to use the Service under these Terms, we reserve all rights.
15.2 Feedback
If you give us feedback, you grant us an unrestricted, perpetual, royalty-free licence to use it for any purpose, without obligation to you.
15.3 Trademarks
"Overten," "Scout" and our logos are trademarks of LSL Group INC. You may not use them without our prior written consent.
16. Copyright and takedown complaints
If you believe content on the Service infringes your copyright or other rights, or you want a Listing or your details removed, email info@lslgroupinc.com. Include your name and contact details, the content or link concerned, the right you believe is affected, and a statement that your complaint is accurate and made in good faith. For copyright complaints in the United States, include the information required by 17 U.S.C. § 512(c)(3).
We may remove or disable content and may end the Accounts of repeat infringers. A user whose content is removed may ask us to review the decision.
17. Confidentiality
Each party may receive non-public information from the other in connection with the Service. Each party will use it only to exercise its rights and meet its obligations under these Terms, and will protect it with at least reasonable care. This does not apply to information that is public through no fault of the recipient, was rightly known already, or was developed independently, or where disclosure is required by law.
18. Privacy
The Privacy Notice explains how we handle personal data, including data from Public Posts. Sellers are responsible for how they use people's details once they have them, as the Seller Terms explain.
19. Availability and changes to the Service
We aim to keep the Service available but do not promise it will be uninterrupted or error-free. Searches may run at different times, and alerts may be delayed, missed or duplicated. We may maintain, change, limit, suspend or stop any feature, with or without notice, and will give reasonable notice of a change that materially reduces what you have paid for. No service level agreement applies unless we agree one in writing.
20. Suspension and ending
20.1 Term
These Terms apply for as long as you have an Account or use the Service.
20.2 Ending by you
You may stop using the Service at any time. To close an Account, use your settings if available, or email info@lslgroupinc.com.
20.3 Suspension or ending by us
We may suspend or end your access, remove Listings or limit features, with or without notice, if we reasonably believe you have broken these Terms or the law, created risk or legal exposure for us or others, or received complaints that need review, or if the law or a provider such as WhatsApp requires it.
20.4 What happens next
When access ends, your right to use the Service stops, your Agents stop running and your Listings stop being shown. We keep your content for 30 days to allow export or reactivation, then delete it, except where the law or a legitimate need, such as resolving a dispute or preventing fraud, requires us to keep it. The Plans, Credits and Refunds policy explains what happens to Credits. Sections that by their nature should survive will survive, including Sections 7, 10, 13 and 15 to 17, and 21 to 30.
21. Disclaimers of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, ALL LISTINGS, PUBLIC POSTS, POTENTIAL BUYERS, SCORES AND AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE; THAT YOU WILL FIND ANY BUYER OR SELLER; THAT ANY POTENTIAL BUYER IS GENUINE, WILLING OR ABLE TO BUY; THAT ANY DEAL WILL CLOSE; THAT ANY USER IS WHO THEY CLAIM TO BE; OR THAT ANY LISTING IS ACCURATE, AVAILABLE, LAWFUL, SAFE OR OF ANY QUALITY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
22. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LSL GROUP INC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, SALES, DATA OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE, ANY TRANSACTION, OR THE ACTS OF ANY USER OR THIRD PARTY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). THESE LIMITATIONS APPLY WHATEVER THE LEGAL THEORY, AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN DAMAGES, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW, INCLUDING FOR FRAUD, OR FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE.
23. Indemnification
You agree to defend, indemnify and hold harmless LSL Group INC and its affiliates, officers, directors, employees and agents against claims, liabilities, damages, losses and expenses, including reasonable attorneys' fees, arising from: (a) your use of the Service; (b) your User Content or Listings; (c) any Transaction or dispute with another user; (d) any message you send, including a draft you sent; (e) your use of people's details; (f) your breach of these Terms or the law; or (g) your breach of any third party's rights, including intellectual property or privacy rights. We may take over the defense of any such matter, and you will cooperate with us.
24. Your statutory rights
Nothing in these Terms removes rights you have under consumer or data protection law that cannot be waived by contract, including, where they apply to you, rights under the Consumer Protection Act, 2012 and the Data Protection Act, 2019 of Kenya.
25. Export control and sanctions
You may not use the Service if you are located in, or a resident or national of, a country subject to a U.S. government embargo, or if you are listed on any U.S. government list of prohibited or restricted parties. You agree to comply with applicable export control and sanctions laws.
26. Force majeure
Neither party is liable for failure or delay resulting from causes beyond its reasonable control, including natural disaster, war, terrorism, riots, labor disputes, internet, power or utility failures, government action, or failures of third-party providers such as WhatsApp.
27. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions, subject to Section 24.
28. Dispute resolution
28.1 Talk to us first
Before starting any claim, you agree to email info@lslgroupinc.com with details of the dispute, and to try in good faith to resolve it for at least 30 days.
28.2 Agreement to arbitrate
Except for claims that qualify for small claims court, claims for injunctive relief, and claims arising from actual or threatened infringement, misappropriation or violation of a party's intellectual property or confidentiality rights, you and Overten agree that any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court.
28.3 Class action and jury trial waiver
YOU AND OVERTEN EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION OR REPRESENTATIVE ACTION. DISPUTES WILL BE ARBITRATED ONLY ON AN INDIVIDUAL BASIS.
28.4 Opt-out
You may opt out of this arbitration agreement by sending written notice to info@lslgroupinc.com within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in Delaware, and you and Overten each consent to the personal jurisdiction of those courts.
29. General provisions
29.1 Entire agreement
These Terms and the documents they refer to are the entire agreement between you and us about the Service, and replace any earlier agreement on the same subject.
29.2 Severability
If any provision is held unenforceable, it will be limited or removed to the minimum extent necessary, and the rest will stay in force.
29.3 No waiver
If we do not enforce a provision, that is not a waiver of our right to enforce it later.
29.4 Assignment
You may not transfer these Terms or your Account without our prior written consent. We may assign these Terms, including in connection with a merger, acquisition or sale of assets.
29.5 Relationship
Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between you and us, or between us and any Buyer or Seller.
29.6 Notices
We may give you notices by email, WhatsApp, through the Service or by posting on our website. Notices to us should go to the addresses in Section 31.
29.7 Language
These Terms are written in English. A translation is for convenience only, and the English version applies if they differ.
30. Changes to these Terms
We may change these Terms. We will update the date on this page and, for material changes, tell you by email, WhatsApp or through the Service at least 15 days before they take effect, except for changes required by law, which may take effect immediately. If you continue using the Service after that, you accept the changes. If you do not agree, stop using the Service.
